Definition

Chipintelli Speech AI Development Platform (hereinafter referred to as “platform”) refers to the platform where Chipintelli provides licensed users with online voice chip product data download, voice chip application program development tools, voice algorithm technology development and other functional services through the Internet. Users refer to companies or individual users who use the platform to learn knowledge or develop relevant product solutions.

1 General

1.1 The user agrees to the terms of this agreement and completes all registration procedures according to the requirements of the platform. After confirming all prompts or requirements of the platform and registering, the user will voluntarily agree to all terms and requirements of the platform and reach an agreement with the platform, and fully accept all terms and conditions under this agreement.

1.2 After the user is successfully registered, the platform will give each user a user account and corresponding password. The account and password shall be kept by the user himself/herself, and he/she shall bear legal responsibility for all activities and events conducted with his/her user account.

1.3 Chipintelli has the right to update the service terms and announcements of the platform agreement from time to time by the platform without further notice to users one by one. Users are obliged to pay attention to and comply with the latest relevant provisions applicable to them when using relevant services. After confirming full understanding, choose to accept or reject the terms of this agreement and decide whether to continue to use the platform.

1.4 Users shall carefully read relevant service agreements before using various functional services provided by the platform. If the user disagrees with the relevant service agreement and/or its subsequent adjustment or modification, he/she can apply for withdrawal from the relevant services provided by the platform as required; Once the user uses or continues to use the platform services, it is deemed that he/she has understood and fully agreed to the contents of the relevant service agreements, including the modifications/updates to the service agreements announced by the platform.

2 Use

2.1 Users shall use the platform in accordance with the provisions of this Agreement and relevant provisions of national laws and regulations. Users shall keep the contents and functions of the platform strictly confidential when using the platform, and shall not disclose or provide them to a third party. When developing the product scheme, Chipintelli’s relevant channel business reporting system shall be followed, which will not interfere with Chipintelli’s normal business activities, otherwise it will be deemed as breach of contract.

2.2 The user promises: to respect the intellectual property rights and other legal rights/interests of Chipintelli and the third party, the user will not modify the platform program or engage in the platform cracking activities without authorization, and the knowledge skills learned from the platform and the solutions developed will not be used in the competitive product solutions similar to Chipintelli products.

2.3 If a user is found to have violated the rules and regulations, the platform has the right to terminate this agreement, close the user’s account and refuse the user’s continued use of the platform.

2.4 The user guarantees to provide the platform with true, timely, complete and accurate information. Users shall ensure that their information and contact person or contact information are updated in a timely manner when they change. If the platform finds that the user uses wrong, false, outdated or incomplete information, it can send the user a query and/or a notice to request correction, and the user should cooperate in providing or updating relevant data according to the requirements of the platform. If the information and data filled in by the user are untrue, untimely, incomplete or inaccurate, the user shall bear the consequences and losses of his/her inability to use the platform account (failure to register successfully, account freezing, cancellation, re authentication until termination, and suspension of part or all of the services provided to the user) or the user in the use process.

2.5 The platform has the right to use the information generated by the users’ publishing, operation and downloading on the platform, and can use the relevant data for commercial applications without paying any fees to the users. The users agree that they have no objection.

2.6 If the user no longer uses the platform, he/she shall timely notify Chipintelli to close and clean up his/her account.

3 Platform Rules

3.1 The platform has the right to audit and select users and finally decide whether users can use the platform. At the same time, the platform has the right to require users to supplement and submit relevant qualification certificates according to the nature of the application. For users who do not meet the relevant requirements of the platform, the platform has the right to take warning, refusal to use and other measures.

(1) Audit the authenticity, security and legitimacy of users, and establish a credit management system.

(2) Urge users to use the platform reasonably, respect and protect the intellectual property rights of both parties.

3.2 When using the platform service, the user must comply with the relevant laws and regulations of the People’s Republic of China. The user guarantees that it will not use the platform service to conduct any illegal or improper activities, including but not limited to the following:

(1) The following information shall not be produced, copied, consulted and disseminated through the Internet: ① Opposing the basic principles set forth in the Constitution; ② Endangering national security, divulging state secrets, subverting state power and undermining national unity; ③ Harming the honor and interests of the state; ④ Inciting national hatred, national discrimination and undermining national unity; ⑤ Those who undermine the state’s religious policy and promote heresy and feudal superstition; ⑥ Spreading rumors, disturbing social order and undermining social stability; ⑦ Spreading obscenity, pornography, gambling, violence, murder, terror or abetting crime; ⑧ Insult or slander others and infringe upon their legal rights; ⑨ It contains false, harmful, coercive, infringing on others’ privacy, harassment, infringement, slander, vulgarity, indecency, or other morally objectionable content; ⑩ Including other contents restricted or prohibited by Chinese laws, regulations, rules, ordinances and any legally effective norms.

(2) Do not use the network service system for any illegal purpose;

(3) Do not use platform services to engage in the following activities: ① Entering computer information networks or using computer information network resources without permission; ② Deleting, modifying or adding computer information network functions without permission; ③ Deleting, modifying or adding data and application programs stored, processed or transmitted in the computer information network without permission; ④ Intentionally making or spreading destructive programs such as computer viruses; ⑤ Other behaviors that endanger computer information network security and platform stability.

3.3 In case of any claim, demand or loss claimed by any third party due to or arising from the user’s breach of this Agreement or other relevant service terms, the user agrees to communicate with the third party for settlement and guarantees that the platform will not be damaged. The platform has the right to take measures, including but not limited to deleting user accounts, terminating services, restricting use, and investigating legal liabilities, depending on the nature of the user’s behavior.

4.1 We respect the intellectual property rights. Unless the user’s consent is obtained, Chipintelli will not use, modify, copy, publicly disseminate, change, distribute, distribute or publicly publish the results of the intellectual property rights owned by the user.

4.2 In addition to the intellectual property rights enjoyed by the user, Chipintelli enjoys full, complete and exclusive ownership and intellectual property rights of the platform and its related intellectual property rights (including but not limited to patent rights, trademark rights, copyright and neighboring rights of copyright, portrait rights, privacy rights, reputation rights, etc.). The user guarantees to abide by relevant regulations and agreements for proper use, and shall not have any act that infringes the platform’s intellectual property rights.

4.3 The user guarantees that he/she has full, complete and exclusive ownership and intellectual property rights of the product scheme developed by using the platform, and that if the platform or other units cooperating with the platform face any loss of reputation, reputation or property due to defects in his/her rights in the operation of using the platform or infringement of the legitimate rights and interests of a third party (including but not limited to patent rights, trademark rights, copyrights, etc.), Will actively take all possible measures to ensure that the platform and other units cooperating with the platform are not affected.

5 Disclaimer

5.1 In order to use the platform, users must be able to access the domestic Internet through a third party with legal qualifications to provide them with Internet access services, and shall pay for the relevant service fees. In addition, users must equip themselves and be responsible for all necessary equipment for connection to the international network, including computers, data machines or other access devices. The platform does not provide any equipment for users.

5.2 In view of the particularity of the network service, the user agrees that the platform has the right to change, interrupt or terminate part or all of the network service at any time without prior notice. The platform does not guarantee that network services will not be interrupted, nor does it guarantee the timeliness, security and accuracy of network services.

5.3 The platform needs to regularly or irregularly repair or maintain the platform providing network services or related equipment. If network services (including charging network services) are interrupted within a reasonable time due to such circumstances, the platform does not need to bear any responsibility for this. The platform reserves the right to suspend any part of the platform for maintenance, upgrading or other purposes without prior notice.

5.4 Users expressly agree that the risks arising from their use of the platform services will be entirely borne by themselves. The user understands and accepts that any information downloaded or obtained through the platform service depends on the user’s own will, and bears the system damage, data loss and any other risks.

5.5 The platform has the right to close the user account that has no business cooperation or competitive relationship with Chipintelli or has not been registered or has expired or expired registration at any time without notice.

5.6 The platform has the right to temporarily or permanently modify or terminate the platform service (or any part thereof) at any time, and the platform shall not be liable to the user and any third party, regardless of its notice.

5.7 The user agrees that the platform has the right to terminate the user’s password, account or use of the platform service (or any part of the service) for any reason, including but not limited to failure to use for 12 consecutive months, or the platform believes that the user has violated the letter and spirit of this agreement, based on its own security and interests, The user shall delete and remove any content in the platform, and the platform shall not bear any responsibility to the user or any third party.

5.8 The user clearly states that he/she has clearly known the contents of the disclaimer set forth in this article and the relevant legal consequences.

6 Confidentiality

Chipintelli promises to take confidentiality measures for the information submitted or known by users when they register accounts or use platform services, and not disclose your information to a third party, unless:

6.1 It can be provided according to the service terms or other service agreements, contracts, online terms, etc. between the two parties.

6.2 It shall be provided according to the provisions of laws and regulations or the requirements of administrative, judicial and other authorities.

6.3 The confidential information has been disclosed or can be obtained from the public domain without violating the responsibilities agreed in the service terms.

7 Miscellaneous

7.1 The validity, interpretation, change, implementation and dispute resolution of the service terms shall be governed by the laws of the People’s Republic of China.

7.2 In case of any dispute between the two parties concerning the contents of this agreement or its implementation, the two parties shall try their best to solve it through friendly negotiation. If no settlement can be reached through negotiation, either party has the right to submit the dispute to the people’s court at the place where the platform provider (Chipintelli) is located for litigation.

7.3 The platform’s failure to exercise or enforce any right or provision of this agreement does not constitute a waiver of the above rights or rights.

7.4 If any provision of this Agreement is invalid or unenforceable in whole or in part for any reason, the remaining provisions of this Agreement shall remain valid and binding.

7.5 If the user violates the agreement, Chipintelli has the right to investigate its legal liability and require it to compensate for relevant losses.

7.6 With respect to the service provided by the platform and the amendment of the terms and conditions of this agreement, Chipintelli has the final right of interpretation.
